STRANDR DRIVER & INDEPENDENT CONTRACTOR AGREEMENT
Effective Date: January 1, 2026
This Driver & Independent Contractor Agreement ("Agreement") is entered into between Strandr LLC ("Strandr," "Company," "we," "our," or "us") and the individual or business entity accepting this Agreement ("Contractor," "Driver," "Service Provider," or "you").
By creating an account, accessing the Strandr platform, accepting service requests, or providing roadside assistance services through the platform, you agree to be bound by this Agreement.

PURPOSE OF AGREEMENT
Strandr operates a technology platform that connects customers seeking roadside assistance services with independent roadside assistance providers.
The purpose of this Agreement is to establish the terms under which Contractor may access and use the Strandr platform to receive and fulfill service requests.

INDEPENDENT CONTRACTOR RELATIONSHIP
Contractor is and shall remain an independent contractor at all times.
Nothing in this Agreement shall be construed to create:
• An employer-employee relationship
• A partnership
• A joint venture
• An agency relationship
• A franchise relationship
Contractor retains sole discretion regarding:
• Whether to accept or reject service requests
• The hours and days worked
• The geographic areas serviced
• The methods and manner used to perform services
Contractor is not entitled to employee benefits, workers' compensation coverage, unemployment insurance, paid leave, retirement benefits, health insurance, disability insurance, or any other employee-related benefits from Strandr.
Contractor acknowledges that Strandr does not provide vehicles, equipment, fuel, maintenance, insurance, employee benefits, workers' compensation coverage, or any other employment-related benefits, and Contractor is solely responsible for all costs and expenses associated with providing services through the platform.

ELIGIBILITY REQUIREMENTS
To access and use the platform, Contractor represents and warrants that Contractor:
• Is at least eighteen (18) years of age;
• Possesses all licenses, permits, registrations, and certifications required by law;
• Maintains all required insurance coverage;
• Has legal authority to perform roadside assistance services;
• Can legally enter into binding contracts;
• Will comply with all applicable federal, state, and local laws and regulations.
Strandr reserves the right to request documentation verifying eligibility at any time.

BACKGROUND CHECKS AND VERIFICATION
Contractor authorizes Strandr and its authorized service providers to conduct identity verification, credential verification, driving record reviews, and background checks as permitted by law.
Contractor agrees to provide complete, accurate, and current information throughout the onboarding process and while using the platform.
Providing false or misleading information may result in suspension or termination.

SERVICES PROVIDED
Contractor may provide roadside assistance services including, but not limited to:
• Towing
• Jump starts
• Tire changes
• Fuel delivery
• Vehicle lockout assistance
• Battery services
• Winching and recovery
• Other roadside assistance services approved by Strandr
Contractor is solely responsible for performing services safely, professionally, and in compliance with applicable laws.

ACCEPTANCE OF SERVICE REQUESTS
Contractor has no obligation to accept any service request.
Once Contractor accepts a service request, Contractor agrees to:
• Respond promptly;
• Communicate professionally;
• Arrive within a reasonable time;
• Perform services safely and lawfully;
• Accurately document completed services when required.
Repeated cancellations, excessive no-shows, fraud, customer complaints, or poor service quality may result in account suspension or termination.

CONTRACTOR RESPONSIBILITIES
Contractor is solely responsible for:
• Vehicles used to provide services;
• Fuel, maintenance, repairs, and operating expenses;
• Tools and equipment;
• Insurance coverage;
• Licenses, permits, and registrations;
• Taxes and tax reporting obligations;
• Compliance with applicable laws and regulations.
Contractor acknowledges that Strandr does not supply vehicles, tools, uniforms, facilities, or equipment.

INSURANCE REQUIREMENTS
Contractor acknowledges and agrees that Contractor is solely responsible for obtaining, maintaining, and paying for all insurance coverage required by applicable federal, state, and local laws, as well as any insurance reasonably necessary to perform services safely and legally.
At all times while using the Strandr platform, Contractor shall maintain, at Contractor's own expense, all required insurance coverage, which may include:
• Automobile liability insurance;
• Commercial automobile liability insurance where required by law;
• General liability insurance;
• Garage keepers liability insurance where applicable;
• Workers' compensation insurance where required by law;
• Any additional insurance required for towing, roadside assistance, recovery, transport, or related services.
Contractor understands and agrees that Strandr does not provide automobile insurance, commercial insurance, liability insurance, workers' compensation insurance, health insurance, disability insurance, or any other insurance coverage for Contractor.
Contractor shall provide proof of insurance upon request and shall immediately notify Strandr of any lapse, cancellation, suspension, non-renewal, or material change in coverage.
Failure to maintain required insurance coverage may result in immediate suspension or permanent termination from the platform.
Contractor assumes full responsibility for all claims, injuries, damages, losses, liabilities, and expenses arising from Contractor's operations, vehicles, equipment, personnel, or services.

PAYMENTS
Strandr facilitates payments from customers for services completed through the platform.
Contractor authorizes Strandr to:
• Collect payments on Contractor's behalf;
• Deduct applicable platform fees;
• Process refunds, adjustments, and chargebacks where appropriate;
• Remit net earnings to Contractor.
Payment schedules, payout methods, and platform fees may be modified from time to time.
Contractor is solely responsible for reporting and paying all applicable taxes.

CUSTOMER RATINGS AND PERFORMANCE
Strandr may evaluate service quality through:
• Customer ratings and reviews;
• Complaint investigations;
• Response times;
• Service completion rates;
• Platform performance metrics.
Consistently poor performance may result in warnings, suspension, or termination.

SAFETY REQUIREMENTS
Contractor agrees to:
• Operate safely at all times;
• Follow applicable traffic and safety laws;
• Refrain from performing services while impaired by drugs or alcohol;
• Maintain vehicles and equipment in safe operating condition;
• Promptly report accidents, injuries, or safety incidents.
Contractor shall not engage in harassment, discrimination, threats, violence, or unlawful conduct.

PROHIBITED CONDUCT
Contractor shall not:
• Misrepresent identity, qualifications, licensing, or insurance;
• Submit fraudulent claims or documentation;
• Manipulate pricing or service records;
• Solicit customers outside the platform using platform-generated leads;
• Share account credentials;
• Use the platform for unlawful purposes;
• Engage in conduct that harms customers, service providers, or Strandr.

CONFIDENTIALITY
Contractor may receive confidential information relating to customers, business operations, pricing, technology, and platform functionality.
Contractor shall maintain the confidentiality of such information and use it solely for purposes related to performing services through the platform.

PRIVACY AND CUSTOMER INFORMATION
Contractor may access customer information solely for the purpose of completing assigned service requests.
Contractor shall not:
• Sell customer information;
• Share customer information with unauthorized parties;
• Use customer information for marketing purposes;
• Retain customer information longer than necessary to complete services.

INTELLECTUAL PROPERTY
All software, trademarks, trade names, logos, content, designs, technology, and intellectual property associated with the Strandr platform remain the exclusive property of Strandr LLC.
No ownership rights are transferred to Contractor under this Agreement.

INDEMNIFICATION
Contractor agrees to defend, indemnify, and hold harmless Strandr, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, judgments, penalties, and attorneys' fees arising from:
• Contractor's services;
• Contractor's negligence or misconduct;
• Violations of law;
• Personal injury or property damage caused by Contractor;
• Contractor's breach of this Agreement.

LIMITATION OF LIABILITY
To the fullest extent permitted by law, Strandr shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to this Agreement or the use of the platform.
Strandr's total liability under this Agreement shall not exceed the total amount of platform fees retained by Strandr from Contractor's services during the six (6) months immediately preceding the event giving rise to the claim.

TERM AND TERMINATION
This Agreement shall remain effective until terminated by either party.
Contractor may terminate participation at any time by discontinuing use of the platform.
Strandr may suspend or terminate Contractor's access immediately for:
• Violation of this Agreement;
• Safety concerns;
• Fraudulent activity;
• Failure to maintain required documentation;
• Failure to maintain insurance;
• Conduct harmful to customers, other providers, or the platform.

DISPUTE RESOLUTION AND ARBITRATION
Any dispute arising out of or relating to this Agreement shall first be submitted to informal negotiations.
If the dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its applicable rules, except where prohibited by law.
To the fullest extent permitted by law, Contractor waives any right to participate in class actions, class arbitrations, or representative proceedings.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of law principles.

MODIFICATIONS
Strandr may update or modify this Agreement from time to time.
Continued use of the platform following notice of modifications constitutes acceptance of the revised Agreement.
